The Rules of Engagement - Clear & Fair
Welcome to Sanwaliya Developers. These Terms and Conditions ("Terms") govern your use of our website, our services and any engagement you enter into with us. By accessing our website, submitting an inquiry or signing a project agreement, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our website or engage our services. We may revise these Terms at any time by posting an updated version. Continued use of our services after changes constitutes acceptance of the revised Terms.
For specific projects, a separate Statement of Work (SOW) or project agreement will be executed. In case of any conflict between these Terms and a signed SOW, the SOW shall prevail for that specific engagement.
Sanwaliya Developers provides software development services including but not limited to:
The exact scope, deliverables, timeline and pricing for any service will be defined in a separate proposal or SOW agreed upon by both parties.
All engagements begin with a free consultation. Following the consultation, we provide a detailed written quote including scope, timeline, deliverables and fixed pricing. Quotes are valid for 30 days from the date of issue. A project is considered "engaged" only when the client signs the SOW/Proposal and pays the advance invoice.
Any changes to the agreed scope (additions, modifications or removals) will be handled through a formal Change Request process. Change Requests may impact the timeline and pricing, and will be agreed upon in writing before implementation.
We reserve the right to decline any project at our discretion, before the SOW is signed, without providing reasons.
Payment terms are specified in each SOW. Standard payment milestones are:
All invoices are due within 7 business days of issuance unless otherwise specified. Late payments may attract interest at 2% per month. We accept payments via bank transfer (NEFT/IMPS/UPI), Razorpay, Paytm and cheques drawn in favour of Sanwaliya Developers.
All prices are exclusive of applicable taxes (GST, state taxes) unless explicitly stated. GST at 18% is applicable on all invoices as per Indian tax law for IT/software services.
Project timelines are estimates based on the agreed scope. We work in weekly sprints with regular demos to keep you informed of progress. We commit to using commercially reasonable efforts to meet agreed timelines, but delays caused by client-side dependencies (delayed feedback, content not provided, third-party API access) may extend delivery dates accordingly.
Client Responsibilities for timely delivery include:
If a project is paused by the client for more than 30 days, we reserve the right to reassign team members. Resuming a paused project may require re-onboarding time and additional cost.
Upon receipt of full payment for the project, all intellectual property rights in the custom code, designs and deliverables created specifically for the client are transferred to the client. This includes source code, database schema, design assets (excluding third-party licensed components) and documentation.
However, the following remain the property of Sanwaliya Developers or third parties:
The client warrants that all content, branding and materials they provide for the project do not infringe any third-party intellectual property rights. The client indemnifies Sanwaliya Developers against any claims arising from client-provided materials.
We warrant that delivered software will conform to the specifications in the SOW for a period specified in the SOW (typically 30-90 days for Starter/Business, 12 months for Enterprise). During the warranty period, we will fix bugs and defects at no additional cost, provided the software is used as intended and not modified by third parties.
This warranty does not cover:
Post-warranty support is available through our maintenance plans. Please refer to the proposal or contact us for current maintenance pricing.
To the maximum extent permitted by law, Sanwaliya Developers shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business opportunities or goodwill, arising from or related to our services. Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
We are not responsible for:
Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, technical details, pricing and trade secrets. This obligation survives termination of the engagement and remains in effect for 5 years thereafter. We are happy to sign a Non-Disclosure Agreement (NDA) before detailed discussions.
Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.
Either party may terminate the engagement with 30 days' written notice. In case of termination by the client before project completion, the client is liable for all work completed up to the termination date and any non-refundable third-party costs incurred. Work completed and deliverables ready for delivery at the time of termination will be handed over to the client upon payment of all outstanding invoices.
We may terminate the engagement immediately if the client breaches these Terms, fails to pay invoices for more than 30 days, or engages in unlawful, fraudulent or unethical behavior. Refunds (if applicable) are governed by our Refund Policy.
These Terms are governed by the laws of India. Any disputes arising from these Terms or any engagement shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The seat of arbitration shall be Chittorgarh, Rajasthan. The arbitrator shall be appointed by mutual consent, or in absence of consent, by the Rajasthan High Court. The language of arbitration shall be English. Courts at Chittorgarh, Rajasthan shall have exclusive jurisdiction for any matters not subject to arbitration.
